Terms & Conditions for Event Sponsorship

1 COMMENCEMENT AND DURATION

The Event Sponsorship Rights shall commence on the date the booking confirmation has been approved/authorised by the customer.

2 EVENT SPONSORSHIP FEES AND PAYMENT

2.1 In consideration for the Event Sponsorship Rights, the Customer shall pay the Supplier the Event Sponsorship Fees.

2.2 The Supplier shall submit an invoice for the Event Sponsorship Fees plus VAT if applicable to the Customer on or at any time after the date of the Contract unless alternative invoicing provisions are specified in the Contract Details, in which case the Supplier shall submit invoices in accordance with the provisions in the Contract Details. Each invoice shall include all reasonable supporting information required by the Customer.

2.3 The Customer shall pay each invoice due and submitted to it by the Supplier, within 30 days of receipt, or if sooner, by the date of the Event, to a bank account nominated in writing by the Supplier.

3 CANCELLATION AND SPONSOR WITHDRAWAL

3.1 Once the Contract has been signed/approved, the Event Sponsorship Fees are committed and non-refundable except as expressly provided in this clause 3.2 A, clause 4 (Event Cancellation), or where the Supplier is in material breach of the Contract.

3.2 If the Customer wishes to cancel its participation in an Event, it must notify the Supplier in writing. The following cancellation charges shall apply based on the date written notice is received by the Supplier:

(a) where notice is received more than three (3) months before the date of the Event: the Supplier shall retain 50% of the Event Sponsorship Fees and shall refund the balance to the Customer within 30 days of receipt of the cancellation notice; and

(b) where notice is received three (3) months or less before the date of the Event: the Supplier shall retain 100% of the Event Sponsorship Fees, which shall remain due and payable in full regardless of whether payment has been made at the time of cancellation.

3.3 In the event of a cancellation by the Customer, the Supplier shall be under no obligation to seek to resell or otherwise mitigate its loss by procuring a replacement sponsor, and the amounts retained as a genuine pre-estimate of the Supplier’s loss at each stage.

EVENT CANCELLATION

4.1 The Supplier reserves the right to cancel or delay an Event for any reason (including, without limitation, by reason of an event of force majeure). The Supplier shall notify the Customer of the cancellation or delay as soon as possible.

4.2 The parties agree that the Supplier shall not be in breach of the Contract by virtue of that cancellation, abandonment or delay.

4.3 On the Supplier notifying the Customer of cancellation of an Event the Contract shall automatically terminate and the Customer shall elect to either:

(a) to the extent that any Event Sponsorship Rights have not been received (or only a proportion of the Event Sponsorship Rights have been received) at the date of such termination, obtain a refund of such proportion of the Event Sponsorship Fees which, as the Supplier may reasonably calculate, equates to the rights which have not been received; or

(b) apply the Event Sponsorship Fees (whether or not paid to the Supplier) to another Supplier event, provided that the date of such event is less than 12 months from the date of such cancellation.
